Registration Statement

Question 1

Your managing partner has asked you to begin work on the Registration Statement and Prospectus for OME. Write a memo to the managing partner in which you:

(1) identify all information that will need to be gathered for the Registration Statement, and

(2) identify all information that will need to be gathered for the Prospectus.

Your memo should be 3-4 pages in length. Incorporate at primary legal sources (statutes, court opinions) to support your work. Format citations and references per Harvard Blue Book rules.
